BYLAWS
OF THE
QUAIL POINT WOMENS’ GOLF CLUB
ARTICLE I - Name and Purpose
Section A. Name
The name of this organization will be the Quail Point Womens’ Golf Club,
hereafter known as QPWGC.

 

Section B. Purpose
The purpose of the QPWGC is to facilitate organized golfing activities for women
members in accordance with and governed by U.S.G.A. Rules

 

ARTICLE II – Membership and Dues
Section A. Membership
Membership will be composed of golfers and emeritus members.
1. Golfers – Any female applicant, eighteen years old or over, shall be
eligible for membership in this club. An applicant shall become a regular
golfing member when she has applied and paid the prescribed dues.
2. Members in good standing who have reached the age of 90 shall be
exempt from paying annual dues.

 

Section B. Dues
1. Annual dues will be set at each Pre-Season Board Meeting, payable prior
to the first day of play.
2. Memberships that begin July 15 or thereafter will be half of the full year
fee.

 

Section C. Hole-in-one-Fund
1. The prize for a hole-in-one will be $100.
2. Each new member will be charged a $1.00 fee with her initial dues
payment.
3. After the $100.00 payout, $1.00 will be added to the dues of each
returning member the following season. 1

 

Section D. Voting
All members will be entitled to vote in the election of officers and on all
decisions to be made by QPWGC at general, annual or special meetings.

 

Section E. Handicap
1. All members must have paid an annual GHIN fee in order to compete.
2. All members will have a USGA established handicap or be in the process
of establishing one in order to participate in regular play days.
3. All members must post their score every time they play.

 

ARTICLE III - Meetings
Section A. General Meetings
1. General meetings will be held every other month on the third play day of
the month starting in April through October.
2. Additional general meetings may be held at the discretion of the President
or the Board.

 

Section B. Annual Meeting
An annual meeting will be held after the last play day to present the annual
award and to install officers.

 

ARTICLE IV - Board
Section A. The members of the Board will include the following:
1. The Elected officers will be: President, Vice President, Secretary, and
Treasurer.
2. Board Members appointed by the President will be: Play Day Tournament
Chairman, Membership Chairman, Handicap Chairman, Bylaws Chairman
and Social and Luncheon Chairman. 2
3. Immediate Past President will serve ex officio, without vote.

 

Section B. Responsibility and Authority
The Board will be responsible for the management of the QPWGC and has
authority to make and enforce rules (guidelines) for its own government and for
the regulation of day’s play activities, tournaments and other events as
scheduled.

 

Section C. Meetings
The Board may meet prior to the Pre-Season Meeting and at any other time the
President deems necessary.

 

Section D. Voting
The Board will be entitled to vote on all business of the QPWGC.

 

Section E. Quorum
All decisions of the Board will be by a majority vote, a quorum being five (5)
Board members.

 

Section F. Special Board Meetings
Special Board meetings may be called by the President or any three (3)
members of the Board.

 

Section G. Emergency Meetings
A telephone poll may replace a meeting if an emergency vote is necessary. A
quorum must be reached on the vote in question.

 

Section H. Terms of Office
1. The Board will assume responsibility at the time of installation
2. Terms will be for one (1) year.
Section I. Vacancy
In the event that a member holding an elective or appointed position is unable to
perform her duties, the position will be declared vacant by the Board and a
successor named by the President. 3

 

Section J. Records
1. All records and books compiled or used by any Board Member will be the
property of QPWGC.
2. Records must be in order and delivered to the new Board Member as soon
as possible, no later than prior to the start of play in the new season.

 

ARTICLE V – Nominations and Elections
Section A. Nominations Committee
1. A Nominating Committee consisting of three (3) members will be
appointed by the President no later than September.
2. The chairman of the Nominations Committee will be the Vice
President.
3. The Nominating Committee will:
a. Submit in writing on or before the third play day in September the
slate of officers for the incoming year.
b. Inform the Vice President nominee that if she accepts the position, it
is with the understanding that she will move up to the Presidency the
following year.
4. Further nominations for each office may be made from the floor, with the
consent of the nominee.
5. Members of the Nominating Committee are not barred from becoming
nominees for office.

 

Section B. Elections
1. Officers are elected by a majority vote of members present at the October
meeting.
2. If there is only one candidate for each office, a verbal election may be
held.
3. If there is more than one candidate for an office, all voting will take place
by ballot.
Section C. Installation
Officers will be installed at the annual meeting. 4

 

ARTICLE VI
Section A. The President will:
1. Preside at all functions of the QPWGC including meetings of the
membership and the Board.
2. Appoint a Nominating Committee.
3. Appoint any special committees she will deem advisable.
4. Serve as ex officio member of all committees.
5. Be authorized to sign checks.

 

Section B. The Vice President will:
1. Preside in the absence of the President.
2. Serve as an ex officio member of all committees.
3. Perform any other duties delegated to her by the President.

 

Section C. The Secretary will:
1. Keep records of all meetings of QPWGC and the Board.
2. Present the minutes of the previous meeting at each general meeting.
3. Provide the President with a copy of the minutes.

 

Section D. The Treasurer will:
1. Be responsible for the financial affairs of QPWGC.
2. Collect membership dues.
3. Be authorized to receive and disburse funds.
4. Maintain a written record and present record of all financial transactions.
5. Be authorized to sign checks.
6. Maintain a current membership roster. 5
7.Have all financial records of QPWGC finalized for the President

 

Section E. The Play Day Chairman will:
1. Organize, set up and conduct play day games.
2. Be responsible for weekly competitions.
3. Be responsible for the Eclectic (Ringer) and the Club Championship
Tournament.

 

Section F. The Membership Chairman will:
1. Prepare a letter to be distributed in early February to all previous season’s
members, notifying them of the Pre-Season Meeting.
2. Prepare a Registration Form to be used for member registration at the
March General Membership Meeting, including name, address, email
address and telephone number.
3. Provide copies of the new Membership List to the Treasurer and the
President.
4. Prepare a Member Directory that includes a Listing of Officers and
Committees, the Play Day Schedule, an explanation of various
tournaments, and any other pertinent information as directed by the
President and Play Day Chairman.

 

Section G. The Bylaws Chairman will:
1. Maintain the Bylaws.
2. Present recommended amendments to the membership.
3. Revise the document as needed.
4. Provide copies of revisions to the officers and to any member upon
request.

Section H. The Handicap Chairman will:
1. Provide information to the members outlining score posting, adjusting a
Handicap Index, local rules and tournament issues.
2. Be certified through the OGA’s Handicap Chair Certification and Licensing
Program and satisfy all requirements in a timely fashion.
Section I. The Social and Luncheon Chairman will:
1. Plan luncheons as appropriate.
2. Plan the Pre-Season Meeting and the annual / awards luncheon in
November.

 

ARTICLE VII – Other Committees
Other Committees may include: Publicity, Photography, the Away Invitational,
Match Play, and others at the discretion of the President.

 

ARTICLE VIII – Amendments
Section A. Amendments to the Bylaws
1. To alter, amend, or make additions to the Bylaws, The President will
appoint a chairman and committee of three (3) to study the changes.
2. The Bylaws Committee will present their findings and recommendations to
the Board for approval.
3. If approved by the Board the proposed Bylaws or amendments will be
sent, to the members or posted by the President for at least thirty (30)
days prior to the next general meeting.

Section B.
Adoption of the proposals will be by a majority of the members present and
voting at the general meeting.

 

ARTICLE IX – Authorities
Section A. USGA
All competition will be held according the USGA Rules of Golf, the USGA Golf
Committee Manual, and the USGA Handicap System.

 

Section B. Local Rules
1. Eligibility for the following annual awards requires a 10 - game minimum,
of play day rounds played prior to the day of the event: Club Champion,
Lowest putting Average, Most Improved Golfer, Eclectic, Most improved
Handicap, and Ace of the Year.
2. During the week that the greens have been sanded, a two-putt maximum
will be in play and awards for low putts will not be given.
3. Six (6) players must be available on any given play day in order to
constitute a regular play day.
4. QPWGC will allow lift, clean, and place year-round. Ball may be picked
up, cleaned and returned to ground within 6 inches of the ball’s original
position, in the same cut of grass. No closer to the pin.
5. In order to keep a reasonable pace of play, ten (10) is the maximum
strokes allowed before the player reaches the green. If the player reaches
ten (10) strokes, she MUST pick up her ball and mark an X on the
scorecard for that hole. The player can continue play, on remaining holes,
but will not be eligible for the Play of the Day awards. However, If the
player reaches the green on the tenth (10th) stroke she can putt until the
hole is completed, and be eligible for the Play of the Day. 8

 

Section C. Robert’s Rules of Order, Newly Revised, will govern the proceedings
of the Association where the Bylaws do not provide otherwise.
